Summary
$95 a share in cash values Atkore at an implied enterprise value of about $3.8 billion, confirming talks reported earlier and setting up a year-end 2026 closing target.
Prysmian said the deal will turn it into a broader electrical solutions provider in North America by adding Atkore’s conduit, cable-management and related infrastructure products to its cable business.
Atkore brings $2.85 billion of 2025 revenue, $386 million of EBITDA, about 30 major manufacturing and distribution sites and roughly 5,400 employees, mostly in North America.
Prysmian expects about $150 million of annual run-rate EBITDA synergies within three years, with the acquisition funded by debt and equity while preserving its investment-grade profile.
The combined group would have generated about €22.1 billion in revenue and €2.7 billion in adjusted EBITDA on a pro forma FY25 basis, increasing Prysmian’s exposure to electrification and data-center spending.
